We are seeking a highly skilled and detail-oriented Company Secretary and Financial Compliance Manager to oversee the governance, compliance, and financial management functions of our organization. This role will involve ensuring strict adherence to legal, regulatory, and financial standards while supporting efficient and transparent business operations.

Responsibilities

1. Board and Shareholder Compliance:
  • Report directly to the Board of Directors on the company’s compliance with all relevant laws,
    regulations, and corporate governance standards.
  • Facilitate the approval, coordination, and conduct of board meetings, Annual General Meetings
    (AGMs), and other general meetings with shareholders.
  • Ensure timely & accurate preparation of agendas, notices, resolutions, & minutes for all meetings.

2.  Secretarial Standards Compliance:
  • Ensure adherence to applicable secretarial standards & regulations, managing all related filings and
    records.
  • Oversee the maintenance of statutory registers, including minutes of Board meetings, AGMs, creditors
    meetings, and debenture holder meetings.

3. Financial Statements and Regulatory Filings:
  • Prepare & submit financial statements to the Registrar of Companies (ROC) as per statutory
    requirements.
  • Oversee the preparation and filing of necessary regulatory forms, including KYC, DPT-3, DSC, and DIN
    updates.

4. Accounts Management:
  • Oversee the accounts receivable and payable processes, ensuring accurate and timely invoicing and
    collections from clients.
  • Ensure effective management of all financial transactions, ensuring smooth operations across the
    procure-to-pay and order-to-cash cycles.

5. Compliance Oversight:
  • Maintain compliance with tax and financial regulations, including TDS (Tax Deducted at Source),
    GST, and Provident Fund (PF) contributions.
  • Prepare and file necessary returns and documentation to ensure compliance with all statutory
    requirements.

6. Bank Reconciliation and Ledger Scrutiny:
  • Perform regular and detailed bank reconciliations to verify accuracy in financial records.
  • Conduct thorough scrutiny of ledgers to identify discrepancies and ensure accurate financial
    reporting.

7. Financial Reporting:
  • Assist in the preparation and review of monthly, quarterly, and annual financial reports.
  • Provide analysis and insights on financial performance, highlighting any areas of concern or
    opportunity.

Who we're looking for:
  • Qualified Company Secretary (ACS/FCS) with proven experience in corporate governance,
    compliance, and financial management.
  • In-depth knowledge of applicable laws, including the Companies Act, Secretarial Standards, and
    other financial regulations (TDS, GST, PF).
  • Experience in preparing financial statements and managing regulatory filings with the Registrar of
    Companies (ROC).
  • Strong knowledge of accounting and financial processes, including accounts receivable/payable,
    procure-to-pay, and order-to-cash cycles.
  • Excellent attention to detail and ability to work with complex financial data and legal documents.
  • Strong communication and interpersonal skills, with the ability to interact effectively with the Board
    of Directors, senior management, and external stakeholders
